U radu se obrađuje pitanje sukoba interesa članova uprave sportskog dioničkog društva. Raspravlja se o širem kontekstu problematike sukoba interesa. Tako se razmatraju odredbe Zakona o sportu te ...posebice odgovarajuće odredbe Zakona o trgovačkim društvima kojima je uređeno to područje. Pitanje sukoba interesa usko je povezano s odredbama o zabrani sklapanja ugovora sa samim sobom, o zabrani konkurencije, o odobrenju kredita članovima uprave, o dužnosti uprave da vodi poslove društva kao uredan i savjestan gospodarstvenik, ali je u prvom redu uređeno odredbom o sukobu interesa koja je u Zakon o trgovačkim društvima unesena izmjenom tog Zakona iz 2015. godine. Sukob interesa analizira se posebno u kontekstu preporuka našeg Kodeksa korporativnog upravljanja čija je najnovija verzija stupila na snagu 6. I. 2018. godine, a čija dobrovoljna primjena od strane sportskih dioničkih društava ima smisla jer takva društva imaju veliki značaj za lokalnu zajednicu, a i mnogo šire. To se pokazalo i na međunarodnom planu jer sportski klubovi koji su ustrojeni kao dionička društva prihvaćaju pravila „dobrog upravljanja“. Raspravlja se i o pojmu „interesa društva“ koji treba razlikovati od interesa većinskog dioničara, ali svakako i od privatnih, osobnih interesa članova uprave.
The conflict of interest of the members of the board of sports public limited companies exists with a member of the board who is not neutral in relation to the subject of the decision and may influence the decision-making process based on interests that differ from the interests of the company. The Law on the Prevention of Conflict of Interest defines a conflict of interest as a situation in which a private interest of an official may affect his impartiality in performing public duties.
The conflict of interest should be viewed objectively, so the subjective impression of a member of the board whether there is a conflict of interest is not relevant. When the required preconditions are met, the board member is obliged to notify the other members of the board and the supervisory board of the conflict of interest.
Further, there is no real conflict of interest in the case when only putative conflict of interest exists. Conflict of interest always involves an element of uncertainty because there is simply no room for a presumption that a member of the board of directors will make a decision contrary to the interests of the company. In the first place, this means that there must be a concrete conflict of interest which is not of minor importance. Therefore, on the other hand, the board is not obliged to notify the supervisory board about the existence of conflict of interest which is of lesser importance or when it comes to an abstract conflict of interest.
There is no duty to notify if the supervisory board and the management already know or need to know about the existence of conflicts of interest.
No special level of difficulty (severity) of conflict of interest is required. This threshold of seriousness should not be too high, as this would lead to a situation in which the task of the board members to detect conflicts of interest would only exist in the extreme cases. Some indications of what would fall into conflict of interest can be found in other regulations, for example in the Law on General Administrative Procedure.
Stečaj nogometnih klubova, kao i ostalih sportskih klubova u Republici Hrvatskoj, postao je goruća tema zbog velikog broja slučajeva kada su klubovi, djelujući u pravnom obliku udruge ili kao ...sportska dionička društva, postali prezaduženi ili nesposobni za plaćanje. Ta tema posebno pobuđuje interes jer, iako je riječ o prepoznatljivim pravnim oblicima uređenima odgovarajućim zakonima, ipak ih u određenoj mjeri valja posebno izdvojiti s obzirom na to da se na njih u prvom redu primjenjuje Zakon o sportu, a tek podredno propisi koji inače uređuju materiju stečaja te propisi koji uređuju takva društva. U toj problematici važnu ulogu imaju i autonomna pravila, međunarodna i domaća, koja na više mjesta uređuju pitanje pravnog položaja kluba koji je u krizi. Njihov donositelj kod nas je Hrvatski nogometni savez, ekskluzivni, jedini nacionalni sportski savez koji potiče, promiče i skrbi o hrvatskom nogometnom sportu te ga predstavlja u međunarodnim odnosima. U tom smislu, uz statut HNS-a, važnu ulogu imaju HNS-ov pravilnik o licenciranju klubova, pravilnik o nogometnim natjecanjima, pravilnik o statusu igrača i registracijama, disciplinski pravilnik HNS-a te brojni drugi akti. Na međunarodnoj razini tvorac autonomnih pravila jest Međunarodni nogometni savez (FIFA) odnosno Europska nogometna unija (UEFA). S obzirom na to, treba ispitati što se događa s nogometnim klubovima kada postanu nesposobni za plaćanje ili prezaduženi. Nema dvojbe o tome da se većina odgovora nalazi u odredbama našeg Stečajnog zakona, ali potrebno je istražiti kakav je „suživot“ državnog i autonomnog prava po ovom pitanju. Pitanje stečaja nije ograničeno samo na sportske (nogometne) klubove već i na sportske saveze kao nositelje natjecanja a koji u pravilu imaju pravni status udruge te kao takvi također mogu postati subjekti stečaja. Ovo posljednje pitanje daleko je od bezazlenog jer na teritoriju jedne države može postojati samo jedna krovna sportska organizacija. Ako je nad tom tvorevinom otvoren stečaj, kako će se održavati sportska natjecanja? Spomenuta, ali i mnoga druga pitanja izazivaju dvojbe u praksi na koje nije uvijek moguće dati jednoznačan odgovor. U radu se prvenstveno provodi analiza autonomnih izvora prava, posebice onih odredaba koje predviđaju posebne, dodatne pravne učinke za slučaj kada se nad nogometnim klubom otvori stečajni postupak te se upućuje na pojedine odredbe HNS-ovog Pravilnika o licenciranju čija bi dosljedna primjena mogla imati ozbiljne posljedice za klubove u financijskoj krizi.
Bankruptcy of football clubs, like all sports clubs in the Republic of Croatia, has become a burning issue due to the enormous number of cases when clubs, acting under the legal form of an association or as a sports joint stock company, have become over indebted or unable to pay. This topic in particular arouses interest because, although it concerns recognisable legal forms governed by appropriate laws, they should be to a certain extent separated. This is because the Sports Act is first applicable to them and then secondly regulations which regulate material bankruptcy and regulations which regulate such associations. In this problem area, an important role is held by autonomous rules, international and national, which in several places regulate the issue of the legal position of a club in crisis. In our country, their contributor is the Croatian Football Federation (HNS), exclusively, the only national sports federation which promotes and cares for Croatian football and represents it in international relations. In this sense, together with HNS’s statute, an important role is held by HNS’s rulebook on licensing clubs, the rulebook on football competitions, rulebook on the status of football players and registration, HNS’s disciplinary rulebook and numerous other acts. At an international level, the creator of autonomous rules is the International Football Federation (FIFA) that is European Football Union (UEFA). Given this, what is going on with football clubs when they become unable to pay or over indebted should be examined. Undoubtedly, most answers can be found in the provisions of the Bankruptcy Act, but it is necessary to investigate what the coexistence of national and autonomous laws in this issue is like. The issue of bankruptcy is not only limited to sports (football) clubs, but also to sports federations as the bearers of competitions which have the legal status of an association and as such can also become the subjects of bankruptcy. This last issue is far from harmless because in the territory of country there can only be one main sports organisation. If bankruptcy is commenced over this creation, how can sports competitions be held? Mentioned also are many other issues raising doubts in practice to which it is not always possible to provide a singular answer. In this paper, analysis of autonomous sources of law is principally carried out, in particular of these provisions which prescribe particular additional legal effects in cases where bankruptcy proceedings are commenced over football clubs. This points to certain provisions of HNS’ rulebook on licensing, faithful application of which could have serious consequences for clubs in financial crisis.
Seizmografska istraživanja čiji je naručitelj Vlada Republike Hrvatske ukazuju na to da jadransko podmorje sadrži zalihe ugljikovodika. Iako tu nije riječ o posebice bogatim zalihama, rezultati tih ...početnih istraživanja pobuđuju interes multinacionalnih trgovačkih društava koja se bave preradom ugljikovodika. Pravna sigurnost gospodarskog pothvata tim društvima jedna je od najvažnijih pretpostavki za ulaganje. Taj zahtjev će se ispuniti s(p)retnom i umješnom kombinacijom zakonodavnog uređenja tog gospodarskog područja države domaćina s jedne strane te sklapanjem posebnih „tailor made“ ugovora s druge, što predstavlja veliki izazov za ugovorne strane. Naime, ugovori o iskorištavanju ugljikovodika moraju kao i svaki drugi ugovor biti odraz svih načela obveznog prava pa je u tom smislu potrebno pronaći pravu ravnotežu između načela ravnopravnosti ugovornih strana i načela pacta sunt servanda, ali i zahtjeva inozemnog trgovačkog društva koje ulaže znatna sredstva u pothvat i očekuje određene povlastice koje će omogućiti razmjerno brz povrat barem početno uloženih sredstava. Ne smije se zaboraviti da je tu riječ o višegodišnjim ugovorima koji trebaju izdržati test ponekad burnih gospodarskih ali i društveno-političkih promjena te treba utvrditi jesu li se okolnosti toliko promijenile da je za jednu od ugovornih strana ispunjenje ugovornih obveza otežano ili se više ne može ostvariti niti svrha ugovora. Kod spomenutih ugovora, raskid ugovora najčešće nije u interesu ugovornih strana. U radu se provodi raščlamba najvažnijih odredaba tih ugovora te se predlažu rješenja koja bi tim pravnim poslovima dala potrebnu razinu prilagodljivosti svim gospodarsko-političkim promjenama koje će sigurno nastati.
For the contract on exploitation of hydrocarbons it has been shown that great attention should be paid to the negotiation phase. The durability of the contract is usually a result of the fact that the negotiators had equal bargaining power. However, the study of basic legal mechanisms, of the process of re-negotiation and different remedies that are used in these contracts points to the conclusion that such agreements must constantly be updated. It is therefore necessary for such contracts to incorporate provisions governing the procedure for their "painless" change. These provisions should be adaptable to the new circumstances and "rules of the game" must be clear to the contractors from the outset. If these questions are regulated in detail then there is less possibility of costly and lengthy disputes emerging. When negotiating, the parties should take into account all the circumstances of the case and find the right measure for use of all legal means described above in order to achieve the main goal - flexibility of the contract and its adaptability to the new circumstances. The paper showed that none of the given solutions has the absolute advantage over the others, but the best results are achieved by skillful combining a large number of these legal remedies. The ultimate goal would be that the host state realize the full extent of its sovereign rights over its natural energy resources eventually.
It is for many countries that are burdened by economic problems a tall order, because foreign investors in many cases continue to have '' the last word '' even when the host country holds, for example, a majority of shares in the company.
U radu se raspravlja o problemu potkapitalizacije trgovačkih društava francuskog prava. Daje se pregled polazišta u francuskom pravu društava o pitanju potkapitalizacije. Posebice se istražuje tko ...odgovara i kome za slučaj potkapitalizacije društva. Nadalje, istražuje se pravni položaj voditelja posla. Razmatra se i pitanje odgovornosti člana društva za potkapitalizaciju a u tom kontekstu raspravlja se o odgovornosti člana za proboj, odgovornosti člana za naknadu štete te njegovu odgovornost zbog povrede dužnosti lojalnog ponašanja prema društvu. Rezultati istraživanja o problematici potkapitalizacije trgovačkih društava uspoređuju se s odgovarajućim rješenjima u hrvatskom i njemačkom pravu društava.
Trgovačka društva kapitala dužna su, na temelju poslovnih rezultata, valjano vođenih poslovnih knjiga i financijskih izvještaja, utvrditi, prijaviti i platiti porez. Članovi poslovodnih organa tih ...društava trebali bi pozornošću urednog i savjesnog gospodarstvenika skrbiti o tome da društvo bude kadro platiti porezni dug. Ako povrijede standard dužne pozornosti mogu kao porezni jamci odgovarati za dug društva. Pravila o načinu i opsegu njihova djelovanja matično su uređena Zakonom o trgovačkim društvima, pa će se, zbog toga, raščlambi poreznopravnih odredbi o dužnoj pozornosti i odgovornosti članova upravljačke strukture trgovačkih društava kapitala kao poreznih jamaca, prethodno izvršiti uvid u njihovo djelovanje koje je uređeno odredbama prava društava. Zaključno će se iznijeti i prijedlozi de lege ferenda kao poticaji za daljnju stručnu i znanstvenu raspravu.
Istup člana iz društva je pravno sredstvo koje je zakonodavac stavio na raspolaganje članovima društva s ograničenom odgovornošću, a riječ je o dobrovoljnom izlasku iz društva što za posljedicu ima ...prestanak članstva. Tim sredstvom oni se ne mogu koristiti bez ograničenja. Naime, istupom člana mijenjaju se članski odnosi u društvu, a društvo je članu dužno isplatiti i naknadu za njegov poslovni udio što može utjecati na sposobnost društva za podmirivanje svojih obveza. Stoga se istup može dopustiti samo pod pretpostavkama uređenima Zakonom, u suprotnom bi pravo na istup predstavljalo sredstvo zlouporabe prava. U tom smislu, posebnu pozornost pobuđuje pojam opravdanog razloga za istup člana i njegov sadržaj treba utvrditi i izvan okvira zakonske odredbe koja ga uređuje. Članovi mogu svojim pravima raspolagati i na drugi način pa tako mogu svoje poslovne udjele u društvu prenijeti na treće. U praksi se, međutim, pokazalo da se u društvene ugovore nerijetko unose odredbe o vinkulaciji poslovnih udjela pa je tada potrebno za prijenos dobiti odobrenje društva. Nadalje, kod poduzetničkih ugovora, kod priključenja kao i kod statusnih promjena član ima zakonom uređeno pravo na istup iz društva. Pored prava na istup, manjinski članovi zbog opravdanog razloga imaju pravo tužbom zahtijevati prestanak društva. U radu će biti više riječi o pretpostavkama za istup, postupku istupa kao i njegovim pravnim učincima. Na kraju se donose izvorni zaključci o pravnoj naravi tog instituta.
It is indisputable that members of Limited Liability Companies have the right to step out from the company even when it is not specifically regulated in the social contract. It means that in principle they can do that as the act of their own will, sometimes contrary to the will of the other members. The right to step out from the company is an inalienable personal right of every member. That right stems from the general legal principle that any permanent legal relationship may end if there's a legitimate, justified reason. The above mentioned right cannot be excluded or limited, but can only be expanded.
Although the member has the right to step out, it is his primary responsibility to take everything in his power to transfer his business share to the new holder and to use the right to step out from the company only as a subsidiary solution. When transferring shares of the company one should pay attention to several facts: first, there is no regulated market for the shares of the LLC such as is the case with stocks; secondly, the transfer of shares is often difficult because of the relationship between members of the company so the potential buyer sometimes steps into the unknown situation. Therefore, this "theoretical" possibility to dispose of the share is not always a just solution so the Lawmaker returns the balance with the provisions on the right of members to step out from the company.
The process, which will end with the elimination of the member from the company, must meet three preconditions: first, there must be a legitimate reason when it is not reasonably to expect that the member will remain in the company, taking into account all the circumstances of the case; secondly, there should be no milder legal remedy whereby a member can achieve the goal and third, the company must have sufficient funds for this transaction, considering the principle of maintaining the company's capital.
Raspravlja se o problemu buduće povrede ugovora o kupoprodaji u slučajevima kada su se ispunile pretpostavke za primjenu Konvencije Ujedinjenih naroda o ugovorima o međunarodnoj prodaji robe (Bečka ...konvencija). Konvencija za slučaj buduće povrede ugovora uređuje pravna sredstva odgode ispunjenja obveze, zaustavljanje robe u prijevozu (pravo kojim se smije koristiti samo kupac) te raskid ugovora. Treba utvrditi kada su se ispunile pretpostavke za korištenje spomenutih pravnih sredstava. To pitanje je osobito značajno jer korištenje tih sredstava bez opravdanog razloga može za posljedicu imati povredu ugovora.
U posljednjih nekoliko godina fenomen elektroničkog sporta (e-sporta ili esporta) dobiva sve veći značaj. Pojam e-sport označava natjecanja koja se održavaju na platformi računalnih ili video igara. ...Platforma za natjecanje je računalna ili videoigra (program), a ne klasično sportsko borilište. Žanr igara, koje služe kao sportsko borilište, u pravilu uključuje strateške igre u stvarnom vremenu, pucačke igre iz prvog lica i sportske simulacije. Uz svladavanje tehnike računalne igre, igrači za uspjeh u natjecanju moraju imati različite motoričke (koordinacija pokreta, brzina reakcije) i kognitivne sposobnosti (prostorna orijentacija, pregled igre, razumijevanje igre, taktička orijentacija, koncentracija, predviđanje i kreativno razmišljanje). E-sport natjecanja postaju sve privlačnija igračima i klubovima (tzv. klanovima) zbog sve izdašnijih nagradnih fondova. Broj igrača, tzv. gamera u stalnom je porastu. Finala tih natjecanja održavaju se u dvoranama pred tisućama gledatelja. Tu je po svemu riječ o ozbiljnom gospodarskom pothvatu koji diljem svijeta svojim nositeljima donosi znatne prihode. E-sport je na Azijskim sportskim igrama 2017. godine predstavljen sportskoj javnosti koja prati „klasične“ sportove, a Međunarodni olimpijski odbor razmatra mogućnost kako taj oblik natjecanja ustanoviti kao olimpijski sport, te se pomno prati aktivnosti e-sport zajednice. Povodom takvog stava najviših sportskih institucija već se neko vrijeme raspravlja o mogućnosti priznanja e-sporta kao sporta. Posebice se raspravlja o pravnim pretpostavkama koje neko natjecanje i njegovi dionici moraju ispuniti kako bi krovna udruga, koja ih objedinjuje, stekla članstvo u nacionalnom olimpijskom savezu. Nije jednostavno dati jednoznačan odgovor na pitanje je li e-sport uopće sport, jer je tu riječ o ljudskoj natjecateljskoj aktivnosti koja pokazuje mnogo lica: pravno, ekonomsko, antropološko, sociološko. Ovim radom nastoji se dati doprinos razumijevanju pravne strukture e-sporta, uzimajući u obzir i pravnu arhitektoniku e-sporta i njegov regulatorni kontekst, te ukazati na neka pravna pitanja iz motrišta nositelja natjecateljske dimenzije tog kompleksnog gospodarskog pothvata. Razmatraju se razlozi za priznanje e-sporta kao sporta, te se upućuje na pravne učinke tog priznanja. Nadalje, daje se prikaz mogućih rješenja za uređenje pravnog statusa natjecateljskih ekipa u e-sportu. Raspravlja se o mogućnosti ustroja e-sport-klubova u obliku sportskih udruga ili sportskih društava kapitala. Pored toga, upućuje se na rizike, prednosti i nedostatke koje nosi izbor pravnog oblika te se daju preporuke za praksu.
The paper proves that e-sports is primarily a serious economic venture dominated by publishers of video and computer games used as a platform for competition. E-sport has grown out of a subculture and has become an
independent and self-sustaining ecosystem in which economically and market-powerful players participate. In e-sports, there is no organizational structure that would correspond to the organizational and
hierarchical structure that exists in classic sports. The freedoms of the digital world allow e-athletes to compete without forming a pyramid structure with an umbrella sports federation at the helm. Publishers are
often at the same time the organizers of these competitions and the competitors are organized in the so-called clans. By organizing competitions, the publishers popularize their product and thus increase their profit from the sale of games and other goods related to computer games. Along with them, sponsors, investors, the marketing sector, organizers of games of chance and spectators appear as stakeholders in the e-sports venture. Unlike “classic” sports in which there is no copyright protection in the sense that someone designed the sport and its rules, in e-sports a computer program (program code) is protected, which is the basis of a video game. The mentioned system is developing even without the “title” of sport, so the real question is what advantages and disadvantages the recognition of e-sport would bring to its key stakeholders. The advantages of e-sports recognition are its wider social acceptance, which also affects its popularity, better access to public funding, easier obtaining of visas and residence permits for e-sportsmen, greater legal security and faster global development through cooperation with other sports organizations. On the other hand, subjecting e-sports to the regime of sports law has its challenges because then the rules on doping, protection of minors and integrity of sports are applied to e-sports stakeholders. The Statute and other autonomous acts of the Croatian Olympic Committee are flexible
enough for the national umbrella association for e-sports to become its
member, but a key role in this process will be played by the International Olympic Committee, which sends signals that e-sports (at least through electronic sports simulations) is getting close of fulfilling the conditions required for any human activity to be recognized as sport. When e-sports are granted the status of a sport then its stakeholders shall become subjects of sports law. In connection
with the legal structure of sports clubs in our country, it follows that e-sports clubs will be able to choose between two legal forms: sports associations and sports joint stock companies. Taking into account the current situation, it can be concluded that sports associations, as a rule, will be the first choice due to all its features described in this paper
U radu se raspravlja o temi koja je predmet interesa sportske javnosti i pravne struke već dulje od dvadeset godina. Naime, statut Njemačkog nogometnog saveza sadrži pravilo da nogometni klubovi – ...društva kapitala koji žele sudjelovati u natjecanjima 1. i 2. Njemačke savezne lige (Bundesliga) moraju imati posebnu člansku strukturu. Sportska udruga iz koje je klub nastao uvijek ima većinsko pravo glasa u klubu bez obzira na ostale ulagače. Tako udruga koja je povijesno bila nositelj sportske aktivnosti ima zadnju riječ o svim važnim pitanjima za klub bez obzira na visinu ulaganja sponzora odnosno vanjskih ulagača u taj sportski pothvat. Analizira se pitanje usklađenosti tih autonomnih pravila Njemačkog nogometnog saveza s njemačkim zakonodavstvom, ali i s pravom Unije. U novije vrijeme ponovno se preispituje opravdanost pravila 50+1 s obzirom na izuzetak prema kojem višegodišnji sponzor kluba koji je u klub ulagao znatna sredstva ipak smije steći većinu glasova u klubu (tzv. Lex Leverkusen). Savez je kao tvorac autonomnog pravila predvidio taj izuzetak zbog dva kluba koji su od svog osnutka neprekidno bili usko povezani i izdašno financijski potpomognuti od strane svojih sponzora – društava kapitala. U međuvremenu su sponzori još nekih klubova temeljem Lex Leverkusena stekli pravo stjecanja udjela koji daju većinu glasova na skupštini tih klubova pa bi u budućnosti norma koja je predviđena kao izuzetak mogla postati pravilo. S druge strane, sportska javnost u Njemačkoj ne gleda blagonaklono na slučaj zakonitog „zaobilaženja“ pravila 50+1, kada većinu glasova u klubu ima udruga, ali udruga ima mali broj članova a njezinim autonomnim aktima otežano je stjecanje članstva. Tako ustrojena udruga dostatna je da klub stekne licencu za natjecanje u saveznim ligama. Provjerava se usklađenost autonomnih normi koje uređuju sportsko natjecanje s pojedinim odredbama Ugovora o funkcioniranju Europske unije (UFEU), a posebice s odredbama o pravu poslovnog nastana, o kretanju kapitala te o tržišnom natjecanju. Na kraju se daje ocjena o održivosti ovog osebujnog pravila koje nije na snazi u ostalim najjačim nogometnim ligama.
The 50+1 rule of German football, first introduced in 1998, was designed to guarantee the continuation of the fan-based ownership of previous eras, requiring that a minimum of 51 percent of the club must be owned by its members, while still allowing for investment opportunities, nevertheless guaranteeing that the supporters still have a direct say in the matters of management – also, crucially, making sure that a single entity can’t control the whole club.
The argument for abolishing this rule is the fact that it is in force in Germany only, so German football clubs cannot compete with other European clubs which have at their disposal significantly higher financial resources. This change could be important because it opens the possibility for German football of attracting more investors. European and international club football has already been commercialized to such an extent that the achievement of top sports results largely depends on investors’ willingness to invest more, so the 50 + 1 rule is an obstacle to the club’s sporting success.
On the other hand, if investors are allowed to acquire majority voting rights then the economic goals will take precedence over sporting goals such as the promotion and development of young players. The loss of majority voting rights could have a negative impact on football culture and tradition, since in Germany fans actively participate in the life of clubs and through their membership in sports associations they exercise democratic control over all important club issues. Furthermore, it is worth noting that the participation of fans in decision-making is not an obstacle to clubs such as Real Madrid, Barcelona and Bayern Munich to continuously achieve top sports results, so the abolishment of the 50+1 rule is no guarantee for better club results. The example of the English Premier League has shown that due to sharp increase of ticket prices for football matches, football ceases to be fun for local football fans, but becomes part of the touristic offer.
The 50 + 1 rule survives primarily because of the special attitude of German football fans towards their clubs. Associations have been the carrier of club sport in Germany for 120 years, and fans are important part of that story.
The Supervisory Board of the Sports Joint stock Companies acts as the representative organ of the shareholders between the General Meeting and the Executive Board: the General Meeting elects (or ...privileged person/shareholder simply names) the members of the Supervisory Board, and the Supervisory Board appoints the members of the Management. From this point of view, one could see the General Meeting as the supreme body of the company. But the Supervisory Board, in the carefully balanced interaction of the three bodies, known as a system of "checks and balances", also has considerable independence from the General Meeting. According to the organizational organization of the Joint stock Companies, the general meeting is not superior towards the two other organs. In particular, the Supervisory Board and its members are not subjects to any instructions from the General Meeting. Neither the election of a member of the Supervisory Board by the General Meeting nor the appointment of a Supervisory Board member by a shareholder (entitled to name his representative) constitutes an imperative mandate for those members. On the other hand, the option of dismissal, which is legally available at all times, as a rule ensures that the Supervisory Board members will not act against the wishes of the General Meeting.
Management measures cannot be delegated to the Supervisory Board. However, it must be determined by the Articles of Association or by resolution of the Supervisory Board that certain types of transactions may only be carried out with the approval of the Supervisory Board. By this right, the Supervisory Board will not become an executive body, equal with the Management Board, even in the case of transactions requiring approval: it can neither undertake the transactions in question itself, nor can it instruct the Executive Board to carry them out. The initiative remains with the Executive Board, which, even with the approval of the Supervisory Board, can still refrain from carrying out the business if it no longer considers it to be sensible and/or reasonable. The Management also remains fully responsible for the business with regard to liability; the approval by the Supervisory Board does not exempt them from an obligation to pay compensation for damages incurred. The Supervisory Board thus has the opportunity, by refusing its consent, to prevent the conduct of business intended by the Management Board.
U radu se obrađuje pitanje pravnog položaja i ovlasti nadzornog odbora sportskog dioničkog društva. Raspravlja se o širem kontekstu problematike nadzora vođenja poslova tih društava, posebice imajući u vidu da ona nemaju za cilj samo ostvarivanje dobiti već i postizanje sportskih ciljeva. Tako se razmatraju odredbe Zakona o sportu te posebice odgovarajuće odredbe Zakona o trgovačkim društvima kojima je uređeno to područje. Pitanje uloge nadzornog odbora u sportskom dioničkom društvu valja razmatrati ponajprije kroz odnos tog organa s upravom i glavnom skupštinom. Zakonodavac daje nadzornom odboru zadaću nadzora vođenja poslova te mu za ostvarenje tog cilja stavlja na raspolaganje ovlasti kojima se taj organ najviše približava samom vođenju poslova. Ipak, podjela zadaća uvjetovana organizacijskom strukturom tog tipa društva trebala bi onemogućiti nadzornom odboru da prisvoji zadaću vođenja poslova što pripada upravi. Naš Kodeks korporativnog upravljanja sadrži preporuke za nadzorni odbor, ali i preporuke o tome kakav bi trebao biti odnos između nadzornog odbora i uprave (sportskog) dioničkog društva. Posebna se pozornost u sportskim dioničkim društvima pridaje onim poslovima uprave koje ona smije poduzeti tek kad dobije suglasnost nadzornog odbora.
