  • From stakeholder value to shareholder value : the transformation of corporate governance regime of SOEs in Slovenia [Elektronski vir]

    This paper attempts to take stock of the "great transformation" from socialism to post socialism in Slovenia. In the past 25 years the governance of state owned enterprises underwent significant ... changes. While the development has been often presented as a steady progression from bad to better governance with growing transparency and accountability, the closer look reveals gyrations fuelled by various interest groups and political agendas. In this paper we describe the changes in the corporate governance regime for SOEs from transition till today and characterize those changes by looking at who were considered primer beneficiaries of a particular governance regime. We aim to show, that the changes in corporate governance of SOEs in Slovenia followed the development from a system emphasizing stakeholder value to a system favoring shareholder value. This change was not driven by conscious design but seems to be an emergent result of the institutional setup. As the system of corporate governance was centralized it started to give priority to shareholder value over stakeholder and corporate value. The more the centralized solution moved from an administrative to a business model the more the shareholder perspective prevailed in the system of corporate governance of the SOEs.
