  • Fiduciary duties of corporate directors and/or managers : an overview of the US legal system

    The article overviews the fiduciary duties in the framework of the business judgment rule in the USA in order to benefit judges, managers, directors and corporate counsels in countries in transition. ... The fiduciary duties are treated as a response to the separation of ownership and control in corporations. The separation causes agency problems, which need to be minimized in order to increase the efficiency of corporations. The article discusses and presents the current legal doctrine, existing legislation, most important case law and at the end offers some recommendations for the countries in transition, in which the corporate governance system is usually pretty weak, and in some cases, inefficient. The article is structured as follows. After introduction, the article in the second part discusses the business judgment rule, due care duty and duty of loyalty. The third part discusses the recommended behavior for directors and/or managers, especially in transition economies.
