    We cannot imagine the modern commercial world, in which the principal - agent relationship, for example the distribution agreement, would not have an important role. The principal - agent ... relationship is based on numerous different legal forms. On one extreme, we have a simple purchase agreement, and on the other hand, we have a merger of two legal entities, which eliminates the principal - agent problem. The article uses the economic analyses of law to overview the situations, in which vertical restrains either increase or decrease the welfare of society by eliminating the negative externalities associated with the principal - agent relationship. It concludes, with the situations in which the vertical restraints should be illegal per se and situations, in which the rule of reason should be applied when judging vertical restraints.
