This paper examines a model of privatization and divestiture of a vertically integrated public monopoly. The framework is used to derive general conditions of how mixed companies might be used to ...promote efficient outcomes without assuming either an ideal social planner or superior cost performance of private enterprise. The conditions suggest that efficient public policy towards mixed (public‐private partnership) companies depends on basic cost and demand conditions. The results indicate that: (1) a vertically integrated private monopoly can be more efficient than any combination of mixed companies when there is a sufficiently flat linear (elastic) demand curve and relatively greater (upward sloping) marginal cost for the downstream sector; (2) an upstream public and downstream public firm can achieve the first best outcome when the downstream firm has constant marginal costs; and (3) a partial privatization of the upstream firm achieves higher welfare than taking that action for the downstream firm. The intuition behind the propositions is provided using standard features of cost and demand. While the implications for public policy regarding privatization and divestiture in infrastructure sectors are not definitive, the results underscore the importance of understanding cost and demand conditions when developing and implementing public policies.
This paper revolves around the challenges currently tackled by the energy distribution sector, where infrastructural investments play a vital role in both increasing the industry’s internal ...efficiency and developing national economies. In natural gas and electricity sectors, the liberalisation process began in Europe at the end of the 1990s has triggered a change in the industry’s competitive framework, encouraging investments by companies aiming at improving their industrial and organisational efficiency. At the same time, liberalisation also brought about a change in the ownership of firms: private and mixed ownership companies are now actively participating in the market, together with state-owned enterprises. In the light of these significant changes, this study is aimed at establishing whether the companies’ propensity to invest in infrastructures is connected with a specific form of ownership. So far, this specific topic has not been thoroughly investigated by empirical studies; this work tries to fill this gap by carrying out an empirical analysis on a sample of Italian energy distribution utilities operating in the natural gas and electricity sector.
ABSTRACT
Partnerships between public and private actors have a long history in Europe and USA. More recently, however, we have been witnessing an extensive use of these instruments, an increasing ...number of the purposes for which they are used, and a growing ambition to create more stable interactions, e.g. by institutionalizing partnerships as mixed companies. From a democratic perspective this development potentially creates problems in terms of steering and accountability. Questions can be raised about the extent to which partnerships will promote the public interest and defend collective interests. The particular difficulties of mixed companies arise, we argue, from their combining two features. One is the shift in values and the increased acceptance of private‐sector values following from the New Public Management reform wave. The second is the way these structures become institutionalized, locking in the value set and making reaction to any changes in social need. The core argument of this article is that the combined effect of these two features represents a significant weakening of public value in mixed companies.
Finanzielle Vorteile, aber Werteverlust? Die Auswirkungen lokaler gemischtwirtschaftlicher Gesellschaften
Partnerschaften zwischen öffentlichen und privaten Akteuren haben in Europa und in den USA eine lange Tradition. In jüngerer Zeit erleben wir jedoch eine extensive Nutzung dieser Instrumente, eine zunehmende Zahl von Zwecken, für die sie eingesetzt werden, und einen wachsenden Ehrgeiz, beständigeres Zusammenwirken zu erreichen, z.B. durch Institutionalisierung von Partnerschaften als gemischtwirtschaftliche Unternehmen. Aus demokratischer Perspektive wirft diese Entwicklung möglicherweise Probleme im Hinblick auf Steuerung und Rechenschaftspflicht auf. Kritisch zu hinterfragen ist nämlich, in welchem Ausmaß Partnerschaften das öffentliche Interesse fördern und die Wahrung gemeinschaftliche Interessen ermöglichen werden. Wir legen dar, dass die besonderen Schwierigkeiten gemischtwirtschaftlicher Unternehmen ihren Ursprung in der Kombination zweier Wesensmerkmale haben. Eines ist der Wertewandel und die zunehmende Akzeptanz von Werten des privaten Sektors als Folge der Public‐Management‐Reformwelle, und das zweite ist die Art und Weise, wie diese Strukturen institutionalisiert werden: Festhalten an dem Werte‐Set und Reaktion auf Veränderungen sozialer Bedürfnisse. Das Kernargument dieses Beitrags ist, dass der kombinierte Effekt dieser beiden Wesensmerkmale eine signifikante Schwächung öffentlicher Werte in gemischtwirtschaftlichen Unternehmen darstellt.
Ganancias financieras y pérdida de valor. El impacto de las empresas mixtas locales
Las alianzas entre actores público‐privados tienen una larga tradición en Europa y en los Estados Unidos. Más recientemente, además, estamos asistiendo a una utilización importante de estos instrumentos, con un número cada vez mayor de objetivos para los que se utiliza, así como una tendencia creciente de crear interacciones más estables, por ejemplo, institucionalizando alianzas a través de empresas mixtas. Desde un punto de vista democrático, este desarrollo puede crear problemas en términos de control y de compatibilidad. Eso plantea algunos problemas relativos a la medida en que tales alianzas promoverán el interés público y defenderán los intereses colectivos. Las dificultades específicas de las empresas mixtas provienen, desde nuestro punto de vista, de dos características combinadas. Una consiste en la desviación de valores y la creciente aceptación de los valores del sector privado en contestación a la vaguedad de la reforma de la “Nueva Gestión Pública”. La segunda reside en la forma en que estas estructuras institucionalizan y reaccionan ante cualquier cambio en las necesidades sociales. El argumento central de este artículo es que el efecto combinado de estas dos características se traduce en un debilitamiento significativo de los “valores” públicos en las empresas mixtas.
Gains financiers et perte de valeurs ? Les impacts des entreprises mixtes locales
Les partenariats entre acteurs publics et privés ont une longue tradition en Europe et aux Etats‐Unis. Plus récemment cependant, on a assisté à une utilisation importante de ces instruments, à un nombre accru d'objectifs pour lesquels ils sont utilisés et une ambition croissante de créer des interactions plus stables par exemple en institutionnalisant des partenariats du type des entreprises mixtes. D'un point de vue démocratique, ce développement peut créer des problèmes en termes de gouvernance et de justification. Il faut alors s'interroger sur la mesure dans laquelle de tels partenariats promouvront l'intérêt public et défendront les intérêts collectifs. Les difficultés spécifiques des entreprises mixtes proviennent, d'après nous, de deux de leurs caractéristiques combinées. L'une consiste dans la dérive des valeurs et l'acceptation grandissante des valeurs du secteur privé suite à la vague de réforme du « New Public Management ». La seconde réside dans le mode d'institutionnalisation de ces structures : conservant leur portefeuille de valeurs et réagissant aux besoins sociaux en mutation. L'argument central de cet article est que l'effet combiné de ces deux caractéristiques se traduit par un affaiblissement significatif de la valeur « publique » dans les entreprises mixtes.
ABSTRACT
The literature identifies hard budget constraints, stock market liquidity, political preferences and legal origins as the main determinants of full and partial privatization. Nonetheless, ...the institutional environment, understood as the functioning of a diverse set of de facto institutions and arrangements, is fundamental for privatization decisions and outcomes. A multi‐dimensional and cross‐country approach is proposed to shed some light on the institutional characteristics that typically are associated with different choices (partial sales ratio, percentage of private ownership) and privatization outcomes (closeness of sale prices to market levels, public vs private interest). The purpose of this paper is to learn lessons from country institutional profiles and provide local governments with a basic frame to understand their institutional settings and prioritize instrumental reforms for privatization. Results suggest that strategy and administrative burden are important determinants of privatization outcomes, and that government commitment and strategic approach to privatization is usually associated to partial privatizations.
Institutionelles Umfeld und Teilprivatisierungen: Politische Implikationen für Kommunalverwaltungen
In der Literatur werden strenge Budgetrestriktionen, Börsenliquidität, politische Präferenzen und Rechtsaspekte als die Hauptdeterminanten von Voll‐ und Teilprivatisierung identifiziert. Nichtsdestoweniger ist das institutionelle Umfeld, verstanden als das Funktionieren eines vielfältigen Sets von „de facto“‐Institutionen und ‐Arrangements, fundamental für Privatisierungsentscheidungen und ‐ergebnisse. In diesem Beitrag wird ein multidimensionaler und länderübergreifender Ansatz gewählt, um etwas Licht auf die institutionellen Charakteristika zu werfen, die typischerweise mit verschiedenen Wahlmöglichkeiten (Teilverkaufsquote, privater Eigentumsanteil) und Privatisierungsergebnissen (Abstand zwischen Verkaufspreisen und marktüblicher Höhe, öffentliches vs. privates Interesse) verbunden sind. Das Ziel dieses Beitrags ist, Lehren aus landesspezifischen institutionellen Profilen zu ziehen und Kommunalverwaltungen einen Basisrahmen bereitzustellen, um ihre institutionellen Strukturen zu verstehen und instrumentellen Reformen für Privatisierung den Vorzug zu geben. Die Resultate lassen darauf schließen, dass Strategie und Verwaltungsaufwand wichtige Determinanten für die Ergebnisse von Privatisierungen sind und dass staatliches Engagement und strategischer Ansatz in Bezug auf Privatisierung gewöhnlich mit Teilprivatisierungen einhergehen.
Entono institucional y privatizaciones parciales: implicaciones políticas para las autoridades públicas locales
La literatura identifica los apremios presupuestarios importantes, la liquidez del mercado bursátil, las preferencias políticas y motivos legales, como los principales factores determinantes de las privatizaciones totales y parciales. Sin embargo, el entorno institucional entendido como el funcionamiento de un conjunto variado de instituciones y compromisos “de facto” es fundamental para las decisiones y los resultados de las privatizaciones. El artículo realiza un enfoque multidimensional e internacional para ilustrar las características institucionales que están típicamente asociadas a las diferentes alternativas de privatización (ratio de ventas con relación al porcentaje de propiedad privada) y a los resultados de ésta (proximidad de los precios de venta con los niveles del mercado, interés público versus privado). El objetivo de este artículo es extraer lecciones de los perfiles institucionales nacionales y proponer a los gobiernos locales un marco base para comprender sus compromisos institucionales y priorizar reformas instrumentales de privatización. Los resultados ponen de manifiesto que los condicionantes estratégicos y administrativos constituyen determinantes importantes de los resultados de las privatizaciones y que la implicación del Estado y el enfoque estratégico de la privatización están habitualmente asociados a privatizaciones parciales.
Environment institutionnel et privatisations partielles: Implications politiques pour les autorités publiques locales
La littérature identifie les contraintes budgétaires sévères, la liquidité du marché boursier, les préférences politiques et les raisons légales comme facteurs déterminants principaux des privatisations totales et partielles. Néanmoins, l'environnement institutionnel entendu comme le fonctionnement d'un ensemble varié d'institutions et d'arrangements “de facto” est fondamental pour les décisions et les résultats des privatisations. L'article propose une approche multi‐dimensionnelle et internationale pour éclairer les caractéristiques institutionnelles qui sont typiquement associées à différents choix de privatisation (ratio de ventes partielles, pourcentage de propriété privée) et aux résultats de celle‐ci (proximité des prix de vente avec les niveaux du marché, intérêt public vs privé). L'objectif de cet article est de tirer des leçons des profils institutionnels nationaux et de proposer aux gouvernements locaux un cadre de base pour comprendre leurs arrangements institutionnels et prioriser des réformes instrumentales de privatisation. Les résultats suggèrent que les charges stratégiques et administratives constituent des déterminants importants des résultats des privatisations et que l'implication de l'Etat et l'approche stratégique de la privatisation sont habituellement associées à des privatisations partielles.

Para superar este ...problema, las autoridades locales de cada país han venido desarrollando reformas ambiguas que han generado la aparición de diferentes modelos de gobernabilidad. Dado que estos servicios son esenciales para el bienestar de los ciudadanos, es crucial determinar si estos modelos son eficaces y apropiados para lidiar con tales condiciones. Para ofrecer un apoyo adicional a proyectos clave en esta materia, los gobiernos europeos han recurrido a asociaciones público-privadas (APP). Una de las tendencias más visibles y que ha sido muy poco investigada, es la del uso de empresas de capital mixto (APP ya institucionalizadas). A pesar de que esta alternativa puede ser atractiva para ambos sectores (público y privado), sus características particulares se opondrían a los objetivos trazados. Así, este artículo presenta una revisión de la literatura sobre empresas mixtas, abarcando aspectos teóricos, legales y operacionales. Las cuestiones de regulación por contrato también son evaluadas e ilustradas con un estudio de caso en el sector del agua de Portugal. El estudio analiza cómo el municipio maneja la distribución de riesgos y regula el acceso al mercado de inversionistas privados. Al final, se discute la necesidad de una regulación externa y se hacen algunas sugerencias sobre cómo un proceso de constitución de una APP debe manejarse, incluso desde la etapa de licitación. Étant donné que ces services sont essentiels pour le bien-être des citoyens, il est essentiel de déterminer si ces modèles sont efficaces et appropriés pour affronter de telles conditions. Pour offrir un appui supplémentaire aux projets clefs dans ce domaine, les gouvernements européens ont eu recours à des associations publiques-privées (APP). Une des tendances les plus visibles, sur laquelle très peu de recherches ont été effectuées, consiste en l'utilisation d'entreprises de capital mixte (APP déjà institutionnalisées). Bien que cette alternative soit attractive pour les deux secteurs (public et privé), ses caractéristiques particulières s'opposent aux objectifs proposés. Cet article présente donc une révision des publications concernant les entreprises mixtes, recouvrant les aspects théoriques, légaux et opérationnels. Le thème de la régulation par contrat est également évalué et illustré par une étude de cas dans le secteur de l'eau au Portugal. Cette étude analyse la gestion par la commune de la distribution des risques et du contrôle de l'accès au marché d'investissements privés. Finalement, la nécessité d'une réglementation externe est discutée et certaines propositions sont élaborées concernant la gestion du processus de constitution d'une APP, l'étape d'appel d'offre y compris. Para ultrapassar este problema, os decisores locais de cada país desenvolveram reformas ambíguas que levaram ao aparecimento de diferentes modelos de governança. Dado que estes serviços são essenciais para o bem-estar dos cidadãos, é crucial determinar se estes modelos são eficazes e apropriados para lidar com as novas condicionantes. Para alavancar novos projetos, os governos Europeus têm recorrido a parcerias público-privadas (PPPs). Uma das novas tendências, ainda muito pouco investigada, tem sido o uso de empresas de capital misto (PPPs do tipo institucional). Ainda que esta solução possa ser interessante para ambos os setores, público e privado, o modelo apresenta algumas particularidades que podem desvirtuar os objetivos iniciais. Este artigo apresenta uma revisão da literatura sobre empresas mistas, englobando aspetos teóricos, legais e operacionais. As questões da regulação por contrato também são avaliadas e ilustradas com um estudo de caso no setor da água em Portugal. No estudo se analisa a forma como o município lidou com a alocação de riscos e regulou acesso ao mercado dos investidores privados. Por fim, se discute a necessidade de regulação externa e são feitas algumas sugestões sobre como o processo de constituição de uma PPP deve ser gerido desde a fase de concurso público. The growing budget restrictions and decentralization processes that local governments face nowadays are threatening the sustainability of local public services. To overcome this problem, local decision-makers around the world have been developing ambiguous reforms, leading to various governance models. Since these services are essential for citizens' welfare, it is crucial to determine whether or not these models have been effective and useful to cope with this state of affairs. To offer extra leverage to key projects, the European governments have been resorting to public-private partnerships (PPPs). One of the visible trends, which lacks further research, has been the use of mixed public-private companies (institutionalized PPPs). Although it is recognized that this solution can be interesting for both public and private sides, it has some particular features that can avert the aimed goals. This paper provides a literature review on mixed companies encompassing theoretical, legal and operational aspects. It also focuses on regulation by contract, referring to a particular Portuguese case study in the water sector and explaining how the municipality handled risk allocation and regulated the access to the market of private investors. Finally, it discusses the need for external regulation and makes suggestions on how these processes should be managed right from the bidding stage.
With this paper we identify a number of the theoretical principles that apply to public—private partnership (PPP) contracts, introducing new case studies and policy discussions relevant for Europe ...and elsewhere. We discuss to what extent these contracts can and should be applied in the waste sector and perform a comparison between the purely contractual and the institutionalised models of PPP arrangements. We analyse four case studies in the ‘wholesale’ waste market in Portugal and examine the implementation and degree of success of these partnerships in the field. It seems that public authorities are failing to secure an adequate level of protection of the public interest. Drawing on the empirical evidence, we present some guidelines that could lead to better regulatory contracts for waste services.
The privatisation of water services goes back to the Thatcher Government and the first legal reference was the Water Act 1989, replaced by the Water Industry Act 1991 amended several times until the ...Water Act 2014 was introduced, after a heated debate between the regulator Ofwat and the companies involved. The current system is based on entrusted service by licensing to private companies extractors for large retailers and smaller companies that supply water to the retail users; there are innovations as concerns competitive market, the control of Ofwat on licensing through new administrative procedures and on the quality of services and consumer protection (of large amounts of water, but not so for modest domestic consumers). This legal framework is compared with the experiences of other European countries that had privatised the management. In recent years, particularly in Germany and France, a new trend emerges: the return to public management by local authorities. In Spain and Italy, the mixed companies PPP including local authorities are still very diffused, while there are some private companies and public companies of local authorities.
