In a Level 3 automated driving system, sometimes the driver may be asked to perform non-driving-related tasks because of a lack of engagement in the driving task. We conducted a driving simulator ...experiment to investigate the driver’s behavior when accepting the system’s request for manual driving under distracted condition by non-driving-related tasks. "Radio hearing task" and "text input task" were set for non-driving-related tasks; in addition, "no task" was set to a control condition. There was a tollgate where the limit of the automatic driving systems because of reached to the end of lane markers. The timing of starting brake was significantly later and maximum brake pedal force was larger in texting. Almost all drivers could resume driving from system, however there was one collision occurred in a texting condition. We suggest that the method for generating the request for deeply distracted driver should be considered.
Notre objectif est de rapporter le travail que nous avons effectué pendant une trentaine d’années dans une unité de Médecine Interne dédiée aux troubles du comportement alimentaire de l’adulte, de ...nous interroger sur la place particulière de cette maladie dans notre système de santé et d’essayer d’en comprendre les raisons : déni et comportement opposant des patientes, séparation entre les maladies physiques et les maladies mentales dans la Médecine occidentale, contexte culturel de notre société qui valorise la performance et l’individualisme, dictature de l’apparence et de la minceur. Notre but est aussi de décrire notre dispositif de soins, centré sur la collaboration d’un somaticien et d’un psychiatre, sur la participation des familles et sur un suivi très prolongé, sur plusieurs années, avec ou sans hospitalisation. Cette stratégie est conforme aux recommandations récentes de la Haute Autorité de Santé mais il faut souligner le manque de moyens dédiés, en particulier pour les adultes, à cette pathologie, qui représente pourtant un réel problème de santé publique. Un grand nombre de patients ne sont pas soignés, ce qui hypothèque gravement l’évolution de leur pathologie.
Our objective is to report the work we have carried out for about 20 years in a specific unit dedicated to eating disorders in the adult, to question the particular place this disease has in our care system and analyse the reasons for it: patients’ opposing behavior, separation of physical and mental diseases in Occidental medicine, social-cultural context of our society which focuses on performance and individualism, dictatorship of appearance and thinness… Our aim is also to describe the system we have put in place, based on pair work involving both a doctor and a psychiatrist, family participation, and very long monitoring over several years with or without hospitalisation. This is a strategy that conforms the recommendation of the Haute Autorité de Santé but we think it is worth emphasizing the lack of means dedicated to this pathology which however represents a real public health issue. A lot of patients do not have access to treatment, which weighs very negatively on the disease evolution.
In Taiwanese private adult education institutions, classes may continue over several years. For that reason, it is not possible to design the class based on the curriculum of the school education ...institutions. In this study, we use the Trajectory Equifinality Approach, and, focusing on adult Japanese language classes that continue for a long period, analyze in what ways a mid-career teacher has transformed the design of classes. The result of the analysis was that the growth of a teacher involves moving from a teacher to student relationship to a relationship of equal participants in the class. Additionally, it is suggested that, as part of this relationship, teacher carry out class design in collaboration with students, and create original value for that class.

Un LBO se traduit, sousl’angle du droit des sociétés, par la constitution d’un ensemble sociétaire composé de deuxsociétés : celle qui achète (la holding de reprise) et celle qui est achetée (la « cible »). Pouraussi importante que soit la seconde, c’est à l’étage supérieur, celui de la holding de reprise,que sont cristallisées les spécificités du montage et leur incidence sur la notion de société.Cette incidence est mesurée au niveau du fond (Partie I) et de la forme (Partie II) de lasociété qui sert de pierre angulaire au montage de LBO.PARTIE I : L’INCIDENCE DU LBO SUR LE FOND DE LA SOCIETELe fond de la société étudiée a été entendu comme ce qu’elle a d’essentiel et qui lui donneconsécutivement son identité. La démonstration a été conduite à partir de deux aspectsfondamentaux de cette société: ce qu’elle fait, c'est-à-dire son activité (Titre I) et ce qu’elleest, c’est à dire sa qualification (Titre II). Ces deux aspects reflètent bien, dans un LBO, latéléologie de la holding de reprise, cette dimension fonctionnelle de la société qu’a simagistralement mise en lumière l’« Ecole de Rennes ». La holding de reprise a en effet unedouble finalité : elle organise à la fois une opération sociétaire (une prise de contrôle aveceffet de levier) et une opération contractuelle (un « contrat d’investissement » entendu commeun contrat de prêt d’argent), la seconde étant clairement l’accessoire de la première. Cettepremière partie conduit l’auteur à proposer de renouveler l’étude de certaines questionsmajeures en droit des sociétés, comme celle de la nature juridique de l’acquisition et de ladétention du contrôle d’une société commerciale (la « cible ») ou encore celle de laqualification proposée en doctrine de « contrat d’investissement » d’une société (telle laholding de reprise) dont le capital est ouvert à des professionnels du capital investissement.PARTIE II : L’INCIDENCE DU LBO SUR LA FORME DE LA SOCIETELe mot forme doit être ici compris dans une double acception. Il s’agit en effet de pouvoir choisir dans lapalette des instruments offerts par le droit des sociétés ceux qui permettront d’organiser leplus efficacement possible d’une part, l’effet de levier attendu sous l’angle juridique del’interposition de la holding de reprise entre le repreneur et la « cible », d’autre part lepartenariat entre ce repreneur et les financiers qui participent au « tour de table » de cetteholding. La démonstration est conduite d’abord pour un montage national (Titre I) puis pourun montage transfrontalier (Titre II).
The dissertation means to focus on confronting a classic of corporate law, the very notion ofcompany, with the requirements often bordering on « financial vampirism » related to thisarchetype of financial capitalism, the « Leveraged Buy Out ». A LBO embodies, from thepoint of view of corporate law, the setting-up of a grouping made up of two companies, one :the take-over holding company, the other : the one that is being bought, the « target ».However important the latter may be, it is at the upper level, the take-over holding company,that the specific features of the financial set-up and their impact on the notion of company arebest given a definite form. The impact is measured according to the content (Part I) and theform (Part II) of the company which acts as the cornerstone in the financial set-up of a LBO.PART I : THE IMPACT OF THE LBO ON THE CONTENT OF THE COMPANYThe content of the company studied here, has been grasped as what constitutes its essential,defining consequently its identity. The demonstration has been conducted from thefundamental aspects of the company : what it does, i-e its operations (Heading I) and itsnature, i.e its qualification (Heading II). The two aspects well evince, in a LBO, theteleology of the take-over holding company, that functional dimension of the company, sobrilliantly expounded by the « Rennes School ». Indeed the take-over holding company has adouble purpose : organizing both a share-holding operation (a take-over with leverage) and acontractual operation (an investment contract conceived as a loan contract), the latter beingclearly incidental to the former. This first part lead us to propose renewing the study of somemajors questions related to corporate law such as the legal nature of the control acquisitionand holding of a trading company (the « target ») as well as that of the qualification putforwardas doctrine of « investment contract » of a company (such as a take-over holdingcompany) with a capital open to professionals of capital investment.PART II. THE IMPACT OF THE LBO ON COMPANY STRUCTUREThe word form should here be understood in tis double meaning. It is first used in itstaxinomic sense, referring to the different company structures that can be applied to play therole of legal outfit for the take-over holding company. It also aims, subsequently and closelylinked, at the outcome of the corporate law specialist’s task, once the company’s structure has6been chosen, endeavouring to use all its inherent capacities for growth in order to adapt thechosen structure to the specific requirements entailed in the setting-up of the LBO.The reason of the LBO’s impact at his stage stems for the need for seeking the maximumcontractual freedom allowing the adaptation of structure to content. It is indeed a matter ofbeing able to choose in range of instruments made available by corporate law, those allowingto organize as efficiently as possible on the one hand, the legally expected leverage performedin the take-over holding company’s intervention between the rescuer and the financiers takingpart in the take-over holding company’s investor round. The demonstration is first conductedfor a financial set-up at national level (Heading I) then cross-border (Heading II).
La confrontation des difficultés de l’entreprise aux droits des salariés conduit à s’interroger sur la coexistence et l’articulation de disciplines à vocations différentes. Face aux difficultés ...économiques de l’entreprise, les conflits d’intérêts peuvent atteindre leur paroxysme. Il revient alors au droit d’utiliser des critères objectifs, acceptés par l’ensemble des parties prenantes, afin de dégager des solutions permettant le maintien de l’activité et de l’emploi.L’analyse de la prise en compte des droits des salariés lorsque l’entreprise rencontre des difficultés économiques, faite sous le prisme de la stakeholder’s theory, aboutit à l’insatisfaction. Entre justice sociale et efficacité économique une recherche d’équilibre s’impose. Pourtant, aussi bien la loi que les apports jurisprudentiels n’y contribuent guère. Des pans entiers du droit du travail et du droit des entreprises en difficulté s’ignorent. L’absence de normes communes entre les matières stérilise la recherche de solutions de compromis. Par suite, aussi bien dans le cadre de la prévention des difficultés de l’entreprise, qu’au titre du traitement judiciaire de celles-ci, ou encore au niveau de la reprise de l’entreprise en difficulté, le conflit aboutit à un équilibre précaire et insatisfaisant. Les droits des salariés sont pris en compte de manière irrégulière, saccadée, et parfois, injustifiée.
Confronting the difficulties of companies with the rights of workers entails discussing the co-existence and the articulation of subject areas whose purposes are different. When a firm encounters economic difficulties, conflicts of interest can become paroxystic. Thus it is the Law which will be resorted to so as to provide objective criteria acceptable by all stakeholders in order to shape solutions which will ensure the preservation of both the activity and jobs. Assessing workers’ rights at a time when a company encounters economic difficulties through the prism of the stakeholders’ theory regularly leads to dissatisfaction. It is essential to balance social justice with economic efficiency. Yet neither the law nor any contributions of the court really help to do so. Large segments of labour law and of bankruptcy law are incompatible. The lack of common standards between both subject matters makes finding compromise solutions impossible. Thus the conflict leads to a precarious and unsatisfactory equilibrium, whether it be in matters of prevention of difficulties for a firm, of their judiciary treatment or of the takeover of the company in difficulty. Workers’ rights are taken into account in a fashion which can be irregular, erratic and at times unjustified.
L’objectif de la présente étude est de faire l’état de la lutte contre la fraude à la constitution qui entrave le processus de démocratisation en Afrique noire francophone. Il s’agit de montrer que ...le renforcement de la démocratie et de l’État de droit a favorisé l’émergence de nouveaux usages de la constitution dans la plupart des États africains. Les gouvernants qui ont intériorisé les contraintes du constitutionnalisme le rejettent de plus en plus par le recours à des artifices juridiques qui se révèlent très difficiles à combattre sur le terrain du droit. Il en est ainsi parce que le fraudeur à la constitution prend toujours le soin de se conformer à la lettre de la constitution pour en combattre son fond. Toutefois, on voit émerger au niveau national, régional et international une synergie d’actions de quelques institutions juridictionnelles, politiques et sociales tendant à combattre les actes des pouvoirs publics qui, revêtant l’apparence de la légalité constitutionnelle, la contrarie. Pour ce faire, les acteurs impliqués dans la lutte contre la fraude n’hésitent pas à tirer du dispositif normatif qui se révèle dans sa mise en œuvre inadaptée, les moyens pour identifier et sanctionner. Le bilan des actions menées contre la fraude révèle des rares succès. Les échecs enregistrés induisent que pour la consolidation de la démocratie en Afrique, la lutte contre la fraude à la constitution doit être placée au centre du contrôle du juge constitutionnel.
The objective of this study is to review the state of the fight against fraud in the constitution that hinders the process of democratization in francophone Africa. These show that the strengthening of democracy and the rule of law has encouraged the emergence of new uses of the constitution in most African states. The leaders who have internalized the constraints of constitutionalism reject more and more by the use of legal devices that are very difficult to fight on the field of law. This is so because the fraudster to the formation always takes care to comply with the letter of the constitution to fight his background.However, are emerging at national, regional and international synergy of actions of some judicial institutions, and social policies aimed at combating acts of public authorities, taking on the appearance of constitutional legality, the upsets. To do this, those involved in the fight against fraud do not hesitate to draw the normative system which is revealed in its inadequate implementation, the means to identify and punish. Review the actions conducted against fraud reveals rare success. The failures that lead to the consolidation of democracy in Africa, the fight against fraud in the constitution must be central control of the constitutional court.
本文就日治時期臺灣機械業規模最大之臺灣鐵工所，於戰後改組為臺灣機械公司的過程予以探討。戰後臺灣機械公司的技術人才主要來自幾個層面，其中，糖業機械設計以日治時期服務於臺灣鐵工所的臺籍員工為主；鐵道機車方面，係藉由日治時期生產窄軌鐵道車輛的經驗，且為了進一步發展銷售至中國大陸的寬軌車輛，因而引進曾任職於中國大陸鐵道單位的外省籍技術人員；造船方面是由熟悉船舶設計的外省籍人員擔任主管，實作工程則仰賴日治時期澎湖馬公海軍工作部所培育之技術者。戰後初期，臺灣機械公司所承接的業務逐漸由單純的機械修繕，轉向較為複雜的機械設計和工程興建。由於公營事業的機械訂造和修繕係臺灣機械公司的主要客戶，使得公司無法像一般工場般僅針對數項商品做專業化的大量生產，極難達到規模經濟。市場銷售方面，產品銷售區域除臺灣內部市場外，並曾將鐵道機車、船舶、機械等銷往中國大陸。1950 年代後，臺灣機械公司在政府政策的支持下生產漁船，才達成專業化生產的目標, This paper focused on exploring how Taiwan Machine Manufacturing Corporation (TMMC) took over Taiwan Iron Works of the Japanese colonial era. As the results, it is clear that he found fun and something to work for and was responsible for his work. He learned about some of techniques by his leaders and he kept working for a long time. His criteria of thinning tree selection are; 1. 'To keep good tree formation. (He would like to keep forest high quality.) 2. To watch the tree canopy. (By doing so, he decides which tree is to be thinned.) 3. To cut the tree standing at the upper side of the hill. (Such trees will disturb the growth of ones standing at lower.)
