    In article author deals with the fundamental corporation institute of the legal capital. Main stress is focused on the role and meaning of the legal capital in regards to the protection of creditors ... and shareholders. Worldwide there were developed two different concepts of the legal capital, Continental and Anglo-American system. Both concepts lean on the protection of creditors and shareholders. Whereas Continental system is more creditors' oriented, Anglo-American system is more shareholders' oriented. Regarding these issuses different corporate institutes were developed that help to satisfy the intention of the legal capital. In article there are exposed some basic problems and criticism of the Continental concept of the legal capital regime. Main attention is paid to the proposals about changes of the system by the expert groups of European Commission, adopted solutions and further possibilities.
